Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Codolie Labs SLU (CIF: B23994924), with registered address in Mallorca, Spain ("Codolie", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services Provided

Codolie provides the following services:

• Custom development: Web and mobile application design, development, and deployment.
• AI solutions: AI MVP development, LLM integration, and machine learning solutions.
• Website rental: Monthly subscription-based website hosting and maintenance.
• Project rescue: Recovery and remediation of troubled technical projects.
• Consulting: Technical consulting, architecture review, and strategic guidance.

3. User Accounts

When you create an account on our platform, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate and complete information during registration and keep it updated.

We reserve the right to suspend or terminate accounts that violate these terms or are used for fraudulent activity.

4. Payments and Billing

4.1 Custom Projects

Payment terms for custom development projects are defined in individual project agreements. Unless otherwise specified, invoices are due within 30 days of issuance. All prices are quoted in EUR unless stated otherwise.

4.2 Subscription Services

Website rental subscriptions are billed monthly in advance. You may cancel at any time; service continues until the end of the current billing period. Refunds are not issued for partial months.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees. We do not store your full credit card details on our servers.

5. Intellectual Property

5.1 Client Work

Upon full payment, intellectual property rights for custom-developed work transfer to the client, unless otherwise agreed in the project contract. This does not include pre-existing frameworks, libraries, or tools used in development.

5.2 Website Rental

For website rental subscriptions, Codolie retains ownership of the website code and design. Clients license the use of the website for the duration of their subscription. Content provided by the client remains the client's property.

5.3 Our Property

The Codolie name, logo, website design, and all related materials are the property of Codolie Labs SLU and are protected by intellectual property laws.

6. Client Obligations

As a client, you agree to:

• Provide timely feedback and approvals during project development.
• Supply all required content, assets, and access credentials as needed.
• Not use our services for any unlawful, harmful, or fraudulent purpose.
• Not reverse-engineer, copy, or redistribute our proprietary tools or code.

7. Limitation of Liability

To the maximum extent permitted by law, Codolie Labs SLU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services.

Our total liability for any claim arising under these terms shall not exceed the total amount paid by you to Codolie in the 12 months preceding the claim.

8. Warranties and Disclaimers

We strive to deliver high-quality services but provide them "as is" without warranties of any kind, express or implied, except as required by applicable law.

We do not guarantee that our services will be uninterrupted, error-free, or that defects will be corrected within a specific timeframe, unless covered by a maintenance agreement.

9. Termination

Either party may terminate a service agreement by providing written notice as specified in the applicable contract. For subscription services, cancellation takes effect at the end of the current billing period.

We reserve the right to terminate or suspend access immediately if you breach these terms or engage in conduct that harms our business or other users.

10. Governing Law

These terms are governed by and construed in accordance with the laws of Spain. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Palma de Mallorca, Spain.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on our website or by email. Continued use of our services after changes constitutes acceptance of the updated terms.
